1. General Corporate and Commercial

We cover a broad range of corporate and business affairs and transactions. Our general corporate and commercial team provides the fundamental legal services and support which every business needs, in terms of corporate secretarial services, general legal consultancy, contract drafting and review, employment, regulatory advice and compliance, corporate governance, corporate structuring, restructuring and reorganization exercises, immigration permit and advice.

We assist our clients in handling all types of legal services related to the daily operation of business and legal issues, diverse corporate legal affairs, formation of legal entities in Indonesia, corporate transactional matters, commercial contracts and documentation. We also advise on and draft contracts for a wide spectrum of businesses, ranging from the daily operational matters to other commercial transactions as well as for the settlement of dispute.

2. Employment

We assist both individuals and companies in handling their employment matters and providing advisory work on the complex rules governing the employment relationships. Besides drafting employment contracs and confidentiality agreements, we also review existing employment contracts, human resources and personnel policies and practices, employee handbooks to ensure that they are all in compliance with applicable local regulations.

We also offer legal advice on the employment implications of mergers and acquisitions and the rights and benefits available to employees upon termination. In the event of disputes, our firm also represents clients in settlement negotiations and appear before the Indonesian Industrial Relations Courts. We also arrange work permits, visas, residency permits and related governmental approvals and filings.

3. Corporate Mergers & Acquisitions

We assist our clients from pre-transaction planning and structuring through due diligence, negotiating and drafting definitive documentation, financing, incorporation of local subsidiaries and the procurement of local regulatory approvals, closing and resolution of post-closing adjustments and other post-closing issues. Specifically for Asia-based companies, we have a team of attorneys who are fluent in Chinese and Taiwanese, and have extensive knowledge of the cultural and legal systems that affect Chinese investment in Indonesia, as well as understand the unique needs of Asia-based clients. We advise companies doing business in Asia with regard to foreign direct investment in Asia; strategic alliances; regulatory and litigation matters; bank lending and finance; and international trade, including import/export matters and related issues.

We advise clients on a variety of intellectual property agreements involving trademark licensing and assignment, distribution agreements, and IP related aspects of franchising transactions. We also assist in conducting legal due diligence on portfolio of trademarks patents and copyright works. Our Intellectual Property practice includes litigators, transaction lawyers, scientists and engineers. 7. Real estate

We advise all stakeholders, owners, developers (corporate and individual) and both domestic and foreign investors in all types of real estate transactions. Our practice covers the entire life span of real estate transactions, from acquisition and development to leasing and sale. We advise clients on title of properties, lending/borrowing for real estate development and investments (foreign and domestic) by funds and private equity players in the real estate sector.

We also advise clients on development and joint development of property, construction contracts and disputes arising out of construction contracts. In addition to our core expertise from the Real Estate practice group, we provide comprehensive support for any real estate transaction by drawing resources from various other practice groups.
